Terms & Conditions

Agreement to Terms
 

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Lumas Solutions ("we," "us," or "our") governing your use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.


Services Offered


Lumas Solutions provides the following professional services:

  • Executive advisory and strategic consulting

  • Leadership coaching and development

  • Speaking engagements and workshops

  • Clarity sessions and focused strategic consultations

  • Innovation and creativity training

The specific scope, deliverables, and terms of each engagement will be outlined in a separate service agreement or statement of work.


Client Responsibilities


As a client, you agree to:

  • Provide accurate and complete information necessary for the delivery of services

  • Participate actively and in good faith in all scheduled sessions and engagements

  • Make timely payments as outlined in your service agreement

  • Respect confidentiality and intellectual property rights

  • Provide reasonable notice for cancellations or rescheduling (as specified in your agreement)


Payment Terms


Payment terms will be specified in your individual service agreement. General payment conditions include:

  • Payments are due as specified in the service agreement (e.g., upon signing, monthly retainer, or upon completion)

  • Late payments may be subject to interest charges or suspension of services

  • All fees are quoted in U.S. dollars unless otherwise specified

  • You are responsible for any applicable taxes (excluding taxes on our income)


Cancellation and Rescheduling


Client-Initiated Cancellations:

  • Sessions canceled with at least 48 hours' notice may be rescheduled without penalty

  • Cancellations with less than 48 hours' notice may result in forfeiture of that session

  • No-shows will be charged in full


For ongoing engagements and retainer agreements, termination terms will be specified in your service agreement.


Confidentiality


We maintain strict confidentiality regarding all client information, communications, and materials shared during our engagements. We will not disclose your confidential information to third parties except:

  • With your explicit written consent

  • As required by law or legal process

  • To trusted service providers bound by confidentiality obligations


Similarly, you agree to maintain confidentiality regarding our proprietary methods, frameworks, materials, and intellectual property.


Intellectual Property


All content, materials, frameworks (including the LEAD Framework), methodologies, presentations, and deliverables provided by Lumas Solutions remain our intellectual property unless otherwise specified in a written agreement.


You are granted a limited, non-exclusive, non-transferable license to use materials provided during your engagement for your internal business purposes only. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.


Professional Relationship


Our services are advisory and educational in nature. While we strive to provide valuable insights and guidance, we do not guarantee specific outcomes or results. The success of any engagement depends on various factors, including your implementation and external circumstances beyond our control.


Our relationship is that of independent contractor and client. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.


Limitation of Liability


To the fullest extent permitted by law, Lumas Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to our services, including but not limited to loss of profits, revenue, data, or business opportunities.


Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.


Testimonials and Case Studies


We may request permission to use your testimonials, feedback, or anonymized case studies for marketing purposes. Any such use will be subject to your prior written approval, and we will respect your preferences regarding attribution and confidentiality.

Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to:

  1. First attempt to resolve the matter through good-faith negotiation

  2. If negotiation fails, engage in mediation with a mutually agreed-upon mediator

  3. Only pursue binding arbitration or litigation as a last resort


These Terms shall be governed by the laws of the United States and the state where Lumas Solutions is registered, without regard to conflict of law provisions.


Modifications to Terms


We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email or through our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.


Severability


If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
